1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the NexSara platform, website, and related digital services (collectively, the “Platform”).
The Platform is owned and operated by NexSara LLC, a United States limited liability company (“NexSara,” “we,” “our,” or “us”).
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not use the Platform.
These Terms apply to:
- Customers (individuals seeking services), and
- Service Providers (independent professionals or businesses offering services)
2. Nature of the Platform
NexSara is a digital marketplace platform that facilitates connections between Customers and independent Service Providers.
NexSara:
- Does not employ Service Providers
- Does not supervise or control service performance
- Is not a party to service agreements between Customers and Providers
- Does not guarantee the quality, legality, or outcome of services
All service agreements are entered into directly between Customers and Providers.
NexSara does not independently verify or guarantee the validity of licenses, certifications, insurance coverage, or regulatory compliance of Service Providers unless expressly stated. Customers are responsible for conducting their own due diligence before engaging any Service Provider.
No Agency or Partnership
Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between NexSara and any Service Provider or Customer.
3. Eligibility
You must:
- Be at least 18 years of age
- Have legal capacity to enter binding agreements
- Use the Platform in compliance with applicable laws
Service Providers must additionally:
- Have legal authority to operate their business
- Possess required licenses (where applicable)
- Provide accurate verification documentation
4. Account Registration
To use certain features, you must create an account.
You agree to:
- Provide accurate and complete information
- Maintain confidentiality of login credentials
- Promptly update account information
You are responsible for all activity under your account.
5. Service Provider Verification
NexSara may require Service Providers to submit identity and professional verification documentation.
Verification:
- Does not constitute endorsement
- Does not guarantee service quality
- Is intended to enhance marketplace trust
NexSara reserves the right to approve, deny, suspend, or revoke verification status at its sole discretion.
6. Customer Responsibilities
Customers agree to:
- Provide accurate service requests
- Communicate respectfully
- Use provider contact information solely for legitimate service purposes
- Comply with local laws
Customers acknowledge NexSara does not guarantee provider performance.
7. Service Provider Responsibilities
Service Providers agree to:
- Provide accurate profile and credential information
- Perform services professionally and lawfully
- Honor confirmed service commitments
- Use customer data only for legitimate service communications
- Comply with applicable laws and licensing requirements
Misuse of customer information may result in suspension or termination.
Providers operate as independent contractors and are solely responsible for:
- Taxes
- Insurance
- Permits
- Business compliance
7.1 Use of Contact Information
Contact information obtained through the Platform, including phone numbers, email addresses, and messaging details, may be used solely for legitimate communications related to service inquiries, service delivery, or platform interactions.
During Phase 1, Customers and Service Providers may communicate directly to coordinate services.
However, users may not:
• Send unsolicited marketing messages or spam
• Share user contact information with third parties without consent
• Use contact information for unrelated commercial solicitation
Misuse of user contact information may result in account suspension or termination and may be reported to appropriate authorities where required.
7.2 Service Performance and Liability
Service Providers are independent professionals who operate their own businesses and are solely responsible for the services they provide to Customers.
NexSara does not supervise, control, or direct the manner in which services are performed and does not guarantee the quality, safety, legality, or outcome of services provided by Service Providers.
Service Providers are solely responsible for:
• The performance and quality of their services
• Compliance with applicable laws, regulations, and licensing requirements
• Maintaining any required insurance, permits, or certifications
• Any property damage, personal injury, or financial loss arising from services they perform
Customers acknowledge that NexSara is not responsible for damages, injuries, losses, or disputes arising from services provided by independent Service Providers.
To the fullest extent permitted by applicable law, NexSara shall not be liable for claims arising from the conduct, actions, or omissions of Service Providers.
NexSara does not provide insurance coverage for services performed by Service Providers unless explicitly stated.
7.3 No Representation of NexSara
Service Providers operate as independent businesses and may not represent themselves as employees, agents, partners, or representatives of NexSara.
Service Providers may not:
• Claim that NexSara endorses, guarantees, or supervises their services
• Represent themselves as acting on behalf of NexSara
• Use NexSara branding, trademarks, or logos in a manner that suggests official affiliation without written authorization
Service Providers may describe themselves as “listed on NexSara” or “available through the NexSara platform,” but must not imply any employment, partnership, or agency relationship with NexSara.
Any misrepresentation of affiliation with NexSara may result in suspension or termination of the provider’s account.
Service Providers are responsible for all statements, advertisements, or representations they make regarding their services.
8. Fees, Subscriptions, and Payments
As of the current platform model:
- NexSara does not charge Customers platform fees for browsing, contacting, or engaging Service Providers.
- NexSara does not collect commissions on services arranged between Customers and Service Providers.
- Payments for services are arranged directly between Customers and Service Providers unless expressly stated otherwise.
NexSara may offer paid subscription plans, premium features, verification programs, advertising services, and other platform-related offerings to Service Providers.
Users who enroll in paid services agree to pay all applicable fees, taxes, and charges associated with their selected plan or service.
Subscription plans may renew automatically unless cancelled in accordance with applicable subscription terms.
NexSara reserves the right to modify pricing, subscription features, or available plans upon reasonable notice.
Additional terms relating to subscriptions, billing, cancellations, refunds, and payment processing may apply and are incorporated into these Terms by reference.
8.1 Subscription Plans and Benefits
NexSara may offer multiple subscription tiers that provide access to enhanced marketplace features, visibility tools, profile enhancements, verification opportunities, lead management capabilities, analytics, advertising options, or other benefits.
Subscription benefits may vary by plan and may be modified, expanded, or discontinued at NexSara's discretion.
Subscription status does not constitute endorsement, certification, licensing approval, guarantee of service quality, guarantee of customer inquiries, or guarantee of business results.
NexSara makes no representation regarding the number of leads, inquiries, bookings, revenue, or business opportunities that may result from use of any subscription plan.
8.2 Failed Payments
If a payment method cannot be successfully charged, NexSara may:
- Retry the transaction;
- Request an updated payment method;
- Suspend access to paid features;
- Downgrade the account to an available lower-tier plan; or
- Terminate subscription benefits.
Users remain responsible for all valid charges incurred on their accounts.
8.3 Third-Party Payment Providers
NexSara may use third-party payment processors, payment gateways, financial institutions, and related service providers to facilitate subscription and platform-related payments.
Use of such services may be subject to the terms and policies of the applicable payment provider.
NexSara does not control and is not responsible for the operation, availability, or policies of third-party payment providers.
9. Communications
The Platform may facilitate messaging between Customers and Service Providers.
You agree not to:
• Harass, threaten, or defraud users
• Use the Platform for unlawful solicitation
• Circumvent platform rules in bad faith
NexSara may monitor communications occurring through the Platform for purposes including compliance, fraud prevention, security monitoring, and enforcement of these Terms.
9.1 Platform Communications
By creating an account or providing contact information, you agree that NexSara may send transactional communications related to your account or use of the Platform. These communications may include:
• Account verification messages
• One-time verification codes (OTP)
• Security alerts or login confirmations
• Service notifications related to platform activity
Such communications may be delivered through channels including email, SMS (text message), WhatsApp, in-platform messaging, or other messaging services supported by NexSara.
These transactional communications are necessary for the operation and security of the Platform and are not marketing communications.
Where permitted by applicable law and where users provide consent, NexSara may also send promotional or informational communications, including updates about platform features, services, or marketplace announcements.
Users may opt out of promotional communications where applicable by adjusting account preferences or following instructions included in the communication.
Standard messaging or data charges from your mobile carrier or messaging provider may apply.
10. Prohibited Conduct
You may not:
- Provide false or misleading information
- Upload fraudulent documents
- Infringe intellectual property rights
- Engage in discriminatory conduct
- Attempt to hack, disrupt, or reverse engineer the Platform
- Use the Platform for illegal activities
- Use contact information obtained through the Platform to send unsolicited marketing messages, spam, or unrelated communications.
10.1 Platform Use and Service Coordination
Users may communicate directly with one another to coordinate services once a connection has been established through the NexSara Platform.
During Phase 1 of the Platform, NexSara does not process payments between Customers and Service Providers, and users may communicate and transact directly as necessary to complete services.
However, where platform features are provided to track service activity (including quote requests, service status updates, or other workflow features), users agree to make reasonable efforts to update relevant information within the Platform to maintain accurate records of service interactions.
Users may not use the Platform in bad faith solely as a directory or lead source while intentionally misrepresenting service activity or attempting to undermine the integrity of the marketplace.
NexSara reserves the right to investigate suspected misuse of the Platform and may suspend or terminate accounts that engage in fraudulent, deceptive, or abusive conduct.
10.2 Automated Access and Data Scraping
Users may not access or use the Platform through automated means for the purpose of extracting, collecting, indexing, or harvesting data from the Platform.
Prohibited activities include, but are not limited to:
• Using bots, crawlers, scrapers, or automated scripts to collect data from the Platform
• Systematically copying or downloading provider profiles, reviews, listings, or marketplace content
• Attempting to bypass technical protections designed to restrict automated access
• Using automated tools to generate artificial traffic, inquiries, or messages
The use of any automated system or software to extract data from the Platform for commercial purposes without NexSara’s prior written permission is strictly prohibited.
NexSara reserves the right to investigate suspected automated activity and may block, suspend, or terminate access to users or systems engaging in unauthorized data extraction.
Violation of this section may result in legal action in addition to account suspension or termination.
11. Intellectual Property
All Platform content, including logos, branding, design, software, and structure, is owned by NexSara or its licensors.
You may not copy, reproduce, or exploit Platform content without written permission.
Service Providers retain ownership of their uploaded content but grant NexSara a non-exclusive, worldwide license to display and promote such content within the Platform.
12. User Content
Users are solely responsible for content they submit.
You represent that:
- You have rights to upload such content
- Content does not violate laws or third-party rights
NexSara may remove content at its discretion.
12.1 Automated or AI-Generated Content
Users may use automated tools or artificial intelligence systems to assist in generating content submitted to the Platform, provided that such content remains accurate, lawful, and compliant with these Terms.
Users are solely responsible for any content they submit to the Platform, including content generated or assisted by automated systems or artificial intelligence tools.
Users may not use automated tools, artificial intelligence systems, or scripts to:
- Generate misleading or deceptive content
- Create fake reviews, profiles, or inquiries
- Impersonate other users or businesses
- Conduct spam or automated messaging activities
NexSara reserves the right to remove content or suspend accounts that misuse automated systems or artificial intelligence in violation of these Terms.
13. Reviews and Ratings
Customers may provide reviews and ratings of Service Providers based on their experiences.
Reviews must:
- Be truthful and based on genuine service experiences
- Not contain defamatory, abusive, or discriminatory content
- Not include personal attacks, threats, or harassment
Users may not:
- Post reviews for services that were not actually received
- Post reviews about their own services or solicit others to do so on their behalf
- Offer incentives, compensation, or benefits in exchange for reviews
- Attempt to manipulate ratings through coordinated activity or multiple accounts
- Use reviews to threaten, extort, or pressure other users
NexSara reserves the right to monitor, moderate, remove, or restrict reviews that violate these Terms or that appear fraudulent, misleading, or abusive.
Repeated violations of review policies may result in account suspension or termination.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform is provided “AS IS” and “AS AVAILABLE.”
NexSara does not guarantee uninterrupted, secure, or error-free operation of the Platform. The Platform may be subject to maintenance, updates, interruptions, delays, cyber incidents, system failures, third-party service outages, or other technical issues beyond NexSara’s reasonable control.
NexSara disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Availability or uptime
- Service quality guarantees
NexSara does not guarantee:
- Accuracy of provider information
- Outcomes of services
- Continuous platform availability
14.1 Platform Availability and Technical Services
The NexSara Platform may experience interruptions, delays, or temporary unavailability due to maintenance, system upgrades, technical issues, third-party service disruptions, or events beyond NexSara’s reasonable control.
NexSara does not guarantee that the Platform will operate continuously, securely, or without interruption.
Users acknowledge that platform functionality may depend on third-party infrastructure and service providers, including hosting, cloud services, messaging providers, analytics services, and other technical systems.
To the fullest extent permitted by applicable law, NexSara shall not be liable for losses, damages, or disruptions resulting from temporary platform outages, service interruptions, or technical failures.
15. Limitation of Liability
To the maximum extent permitted by law:
NexSara shall not be liable for:
- Indirect, incidental, consequential, special, exemplary, or punitive damages;
- Loss of profits, revenue, business opportunities, goodwill, data, or business interruption;
- Disputes between Customers and Service Providers;
- Service performance failures, delays, cancellations, or dissatisfaction with services;
- The acts, omissions, conduct, or representations of Customers, Service Providers, or other users of the Platform.
NexSara does not guarantee:
- The accuracy of user-provided information;
- The availability of Service Providers or Customers;
- The outcome, quality, legality, or success of services arranged through the Platform;
- Any specific business outcome, lead volume, inquiry volume, customer engagement level, booking rate, revenue level, search ranking, profile visibility, or return on investment resulting from any subscription plan, verification status, advertising service, or paid platform feature.
To the fullest extent permitted by applicable law, NexSara’s total aggregate liability arising out of or relating to the Platform, these Terms, or any services provided by NexSara shall not exceed the greater of:
(a) USD $100; or
(b) the total amount paid directly to NexSara by the user during the twelve (12) months preceding the event giving rise to the claim.
This limitation applies regardless of the legal theory asserted, whether based on contract, tort, negligence, strict liability, statute, or otherwise, and even if NexSara has been advised of the possibility of such damages.
16. Indemnification
You agree to indemnify and hold NexSara harmless from claims arising from:
- Your use of the Platform
- Your violation of these Terms
- Your service performance (Providers)
- Your interactions with other users
17. Dispute Resolution Between Users
NexSara is not obligated to mediate disputes between Customers and Providers.
However, NexSara may:
- Facilitate communication
- Investigate complaints
- Suspend accounts where necessary
18. Suspension and Termination
NexSara may suspend, restrict, or terminate accounts for:
- Violations of these Terms;
- Fraudulent, deceptive, or abusive activity;
- Regulatory, legal, or compliance concerns;
- Risk to platform security, users, or marketplace integrity;
- Submission of false, misleading, or fraudulent information;
- Unauthorized use of the Platform;
- Fraudulent payment activity, unauthorized payment disputes, chargeback abuse, or attempts to circumvent subscription obligations.
Termination or suspension may occur without prior notice where NexSara reasonably determines that immediate action is necessary to protect users, the Platform, or NexSara's legitimate business interests.
19. Force Majeure
NexSara shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to:
- Natural disasters
- Acts of government
- Internet outages
- Cyberattacks
- Labor disputes
- Power failures
- Public health emergencies
20. Assignment
NexSara may assign or transfer these Terms, in whole or in part, without restriction in connection with a merger, acquisition, restructuring, or sale of assets.
Users may not assign their rights without prior written consent.
21. Electronic Communications
By using the Platform, you consent to receive communications electronically, including agreements, notices, and disclosures. Electronic communications satisfy any legal requirement that such communications be in writing.
Certain communications may be delivered through automated systems or messaging providers, including email, SMS, WhatsApp, or in-platform notifications.
22. Survival
Provisions relating to limitation of liability, indemnification, dispute resolution, intellectual property, and governing law shall survive termination of these Terms.
23. International Use
NexSara supports Service Providers in:
United States, India, Canada, United Kingdom, Australia, New Zealand, United Arab Emirates, Qatar, South Africa, and Singapore.
Customers may access the Platform globally.
The Platform is operated from the United States.
Users are responsible for compliance with local laws in their jurisdiction.
24. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
Any legal action shall be brought in the state or federal courts located in Texas, unless otherwise required by applicable law.
25. Dispute Resolution and Arbitration
25.1 Disputes Between Customers and Service Providers
NexSara is not a party to service agreements between Customers and Service Providers.
Accordingly:
- NexSara does not assume responsibility for disputes arising from service performance, pricing, cancellations, outcomes, or contractual disagreements between users.
- Customers and Service Providers are solely responsible for resolving disputes directly between themselves.
While NexSara may, at its sole discretion, review complaints to assess compliance with these Terms, NexSara is not obligated to mediate, arbitrate, or resolve user-to-user disputes.
NexSara reserves the right to:
- Investigate reported misconduct;
- Suspend or terminate accounts;
- Revoke verification status;
- Restrict platform access;
where necessary to protect marketplace integrity.
Such actions do not constitute a determination of legal fault or liability.
25.2 Disputes With NexSara
Any dispute, claim, or controversy arising out of or relating to:
- These Terms
- Your use of the Platform
- Your relationship with NexSara
- shall be resolved as follows:
Informal Resolution
Before initiating arbitration, the parties agree to attempt to resolve the dispute informally by contacting NexSara through the platform’s designated support or legal contact address.
Both parties agree to allow at least thirty (30) days to attempt to resolve the dispute informally before initiating arbitration proceedings.
Arbitration
To the maximum extent permitted by law, unresolved disputes shall be resolved through binding arbitration administered in the State of Texas, United States, under applicable arbitration rules.
You agree that:
- Arbitration shall be conducted on an individual basis
- Each party shall bear its own arbitration costs and legal fees unless otherwise required by applicable law or arbitration rules
Class Action Waiver
To the fullest extent permitted by law, disputes must be brought only in an individual capacity, and not as a plaintiff or class member in any purported:
- Class action
- Collective action
- Representative proceeding
- Class arbitration
Exceptions
Nothing in this section prevents NexSara from seeking injunctive or equitable relief in a court of competent jurisdiction to protect:
- Intellectual property
- Confidential information
- Platform security
Jurisdiction Fallback
If arbitration is prohibited by mandatory law in your jurisdiction, disputes shall be resolved in the courts located in Texas, United States, unless otherwise required by applicable law.
26. Privacy
Use of the Platform is also governed by our Global Privacy Policy, Payment Policy, Refund & Cancellation Policy, and any applicable Service Provider Agreement, all of which are incorporated into these Terms by reference.
27. Modifications
NexSara may modify these Terms at any time.
Continued use of the Platform constitutes acceptance of updated Terms.
28. Severability
If any provision is deemed invalid, remaining provisions remain enforceable.
29. Entire Agreement
These Terms, together with the Privacy Policy, Payment Policy, Refund & Cancellation Policy, Service Provider Agreement (where applicable), and any additional terms presented in connection with specific platform features or subscription services, constitute the entire agreement between you and NexSara regarding use of the Platform.
